These Terms of Service (“Terms”) govern your access to and use of services provided by Keshtay L.C. (“Keshtay”, “we”, “us”, or “our”) via our website https://student-service.keshtay.com and any related online portals, applications, communications, or services (together, the “Site” and the “Services”). By accessing or using the Site or Services you agree to these Terms. If you do not agree, do not use the Site or Services.

Definitions

User / You: Any individual or entity who accesses or uses the Site or Services.

Partner Institution(s): Educational institutes (private or public) with which Keshtay has a contractual relationship for student placement.

Core Services: Placement, application assistance and ancillary services Keshtay provides to prospective students applying to Partner Institutions.

Premium / Paid Services: Any service for which Keshtay charges a fee (including services for non-partner institutions), explicitly stated as paid on the Site or in a separate written agreement.

Third-Party Costs: Fees and charges not collected by Keshtay on its own behalf (e.g., tuition, government visa fees, airline ticket costs charged by carriers, accommodation paid directly to hotels).

Services Overview

Keshtay provides a platform to assist students in applying to educational institutions, primarily Partner Institutions. We facilitate communication, documentation, and guidance during the application and enrollment process.

  1. What we offer:

    • Assessment and advising to identify suitable Partner Institutions based on your profile.
    • Pre-arrival arrangements for students of Partner Institutions may include assistance with airline ticket coordination and accommodation arrangements (subject to Partner Institution policy and availability).
    • Post-arrival assistance may include airport pickup, obtaining a Malaysian phone number, campus visits, and assistance opening a Malaysian bank account (subject to local provider availability and your compliance with local rules).
    • Promotional benefit (subject to the rules below): two months after paying the first-year tuition for an eligible program and maintaining enrollment, the student may be eligible for a domestic airline ticket to a Malaysian island and a 2-night hotel reservation (subject to terms, availability, and eligibility).

  2. Free vs. Paid:

    • Core Services are free of charge for applicants to Partner Institutions. Keshtay receives compensation from Partner Institutions in accordance with our commercial agreements.
    • If you apply to a non-Partner Institution, Paid Services and/or service fees may apply. Any paid services or fees will be disclosed to you in advance in writing and accepted by you before any work begins.

  3. Third-Party Costs:

    • You are responsible for all Third-Party Costs unless Keshtay explicitly states otherwise in writing. Keshtay does not guarantee payment of tuition, visa, government, or third-party provider fees.

Eligibility & User Obligations

  1. Eligibility:

    • You must be at least 18 years old or have parental/guardian consent to use the Services. By using the Site you confirm you are legally able to form binding contracts.

  2. Accurate Information:

    • You must provide true, accurate and complete information when requested. You authorize Keshtay to verify any information you provide and to share necessary data with Partner Institutions and third parties for the purpose of providing Services.

  3. Compliance:

    • You must comply with all applicable laws, rules, regulations and the policies of Partner Institutions. You are responsible for your travel documents, visas, vaccinations, insurance and other legally required items.

Registration, Account & Electronic Agreements

  1. Account:

    • Where applicable, you may be required to create an account. Keep credentials secure; you are responsible for activity under your account.

  2. Electronic Consent & Clickwrap:

    • By clicking “I Agree,” “Accept,” submitting an application, or otherwise affirmatively consenting on the Site, you acknowledge that you have read and agree to these Terms, our Privacy Policy and our Refund Policy. Such electronic actions constitute a binding electronic signature and agreement under applicable laws.

Payment & Fees

  1. Fee Disclosure:

    • Any Paid Services, fees for non-partner placements, or optional premium services will be disclosed and require your prior written or electronic agreement.

  2. Payment Processing:

    • Payments will be processed via the payment methods displayed on the Site or as otherwise agreed in writing. Keshtay may use third-party payment processors; those providers’ terms apply.

  3. Taxes:

    • You are responsible for any taxes, duties, or similar charges (if any) arising from your purchase or use of Paid Services.

Refunds & Cancellations

  1. General:

    • Because most Core Services are free when an applicant applies to a Partner Institution, refunds are generally not applicable for Core Services. For Paid Services, refunds will be governed by our Refund Policy, which is published on the Site and incorporated by reference into these Terms.

  2. Third-Party Non-Refundables:

    • Fees imposed by third parties (universities, government agencies, or travel providers) are outside Keshtay’s control and may be non-refundable

  3. Promotional Benefits:

    • Any promotional benefits (for example, the domestic airline ticket and hotel stay referenced above) are subject to eligibility requirements, availability, and provider terms. Keshtay may modify, postpone, or cancel promotions at any time; where a promotion is cancelled, Keshtay’s liability is limited as set forth in Section 9 (Limitation of Liability).

No Guarantee

  1. Admissions & Visa Decisions:

    • Keshtay assists with applications but does not guarantee admission to any institution, visa approval, or scholarship. These decisions are at the sole discretion of Partner Institutions and government authorities.

  2. Information Only:

    • Information provided by Keshtay is for informational and facilitation purposes only and should not be taken as legal, immigration, tax, medical or other professional advice. You should obtain independent professional advice where appropriate.

Privacy & Data Sharing

  1. Privacy Policy:

    • Our Privacy Policy describes how we collect, use, disclose and protect your personal data. By using the Site you consent to our collection and use of your information as described in the Privacy Policy.

  2. Data Sharing:

    • To provide Services, we will share necessary personal data with Partner Institutions, government authorities (where required), payment processors, travel/accommodation providers and other third-party service providers. We do not currently sell personal data; we may change that practice in the future and will notify users as described in the Privacy Policy.

  3. Record-Keeping:

    • We will retain records of your interactions and consents as necessary to provide Services and to comply with legal obligations.

Intellectual Property

  1. Ownership:

    • Keshtay and/or its licensors retain all rights, title and interest in the Site, Services and all related content (including trademarks, logos, text, graphics, software and designs). You may not copy, reproduce, modify, publicly display, distribute or create derivative works without express written permission.

  2. User Content:

    • If you submit content (for example, documents, photos, essays), you grant Keshtay a worldwide, royalty-free, non-exclusive license to use, reproduce and transmit that content as necessary to provide Services (including sharing with Partner Institutions). You represent and warrant you have the right to provide such content. To provide Services, we will share necessary personal data with Partner Institutions, government authorities (where required), payment processors, travel/accommodation providers and other third-party service providers.

Conduct & Prohibited Uses

  1. You agree not to:

    • use the Site for unlawful purposes;
    • submit false, fraudulent or misleading information;
    • abuse or harass Keshtay staff, partners, or other users;
    • interfere with the Site’s operation or security;
    • or attempt to access other users’ accounts or data.

Keshtay may suspend or terminate accounts and access for violations of these Terms.

Warranties; Disclaimers

  1. No Warranty:

    • The Site and Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind to the fullest extent permitted by law. Keshtay expressly disclaims all warranties, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

  2. Third-Party Services:

    • Keshtay is not responsible for acts or omissions of Partner Institutions, travel providers or other third parties. We do not guarantee availability, quality, or outcomes from third-party services.

Limitation of Liability

To the maximum extent permitted by applicable law, Keshtay’s aggregate liability under or related to these Terms, whether in contract, tort (including negligence), or otherwise, shall not exceed the amount you actually paid to Keshtay for the Paid Services giving rise to the claim in the 12 months before the claim arose. If you have paid nothing, Keshtay’s liability shall be limited to USD $100. In no event will Keshtay be liable for indirect, incidental, consequential, special, punitive, or exemplary damages (including lost profits, loss of data, or business interruption), even if Keshtay was advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability; where such limitations are unenforceable, Keshtay’s liability will be limited to the maximum permitted by law.

Indemnification

You agree to indemnify and hold harmless Keshtay, its officers, directors, employees and agents from any third-party claims, losses, damages, liabilities and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Site or Services, or your violation of applicable law.

Termination

Keshtay may suspend or terminate your access to all or part of the Site or Services at its discretion, with or without notice, for any reason including breach of these Terms. Termination does not relieve you of obligations that accrued prior to termination (including payment obligations and indemnities).

Changes to the Terms

Keshtay may modify these Terms at any time. When changes are material, we will use reasonable efforts to provide notice (for example, via email or prominent notice on the Site). Your continued use of the Site after posting of updated Terms constitutes acceptance of those changes.

Governing Law & Dispute Resolution

  1. Governing Law:

    • These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, except where mandatory local consumer laws applicable to you provide otherwise.

  2. Disputes:

    • If you and Keshtay cannot resolve a dispute informally, you and Keshtay agree first to attempt to resolve the dispute by good-faith negotiation or mediation. If unresolved, disputes shall be submitted to the courts located in Bernalillo County, New Mexico (or another forum agreed in writing). Nothing in this section prevents you from exercising any statutory rights you may have in your local jurisdiction where such rights cannot be waived.

Consumer Rights & Local Law

These Terms are intended to be globally applicable, but you may have consumer rights under local law that cannot be waived by contract (for example, rights under EU consumer law, Malaysian Consumer Protection, or U.S. state laws). Where local mandatory laws apply to you, those laws prevail to the extent they conflict with these Terms.

Promotions, Offers & Marketing Representations

Any marketing claim (for example “ALL OF OUR SERVICES ARE FREE”) is qualified by and subject to these Terms and any disclaimers on the Site. Where a promotion or benefit is conditional (for example, the island trip that requires payment of first-year tuition and continued enrollment), the conditions will be stated clearly in the promotion and/or the Site. Keshtay will not be liable for promotional claims that do not accurately reflect actual eligibility, provided Keshtay has made reasonable efforts to publish correct terms and qualifications.

Miscellaneous

  1. Entire Agreement:

    • These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Keshtay relating to the Services.

  2. Severability:

    • If any provision is held invalid or unenforceable, the remaining provisions will remain in full force.

  3. Notices:

    • We may provide notices to you via email, posting on the Site, or other reasonable means. For legal notices to Keshtay, use the contact info below.
